Project Purpose

By acquiring a Genesis Chip, you acknowledge that your intention is to engage with the Nomisma Network ecosystem and utilize related services. The Company, together with the Distributor and other affiliates, may contribute to building the core infrastructure of the Nomisma Network. The Company does not act as a financial advisor or fiduciary and operates solely as an independent third party in the context of this distribution.

Eligibility

To participate in the Genesis Chip distribution or use any services on the Website, you must be at least eighteen (18) years of age. Access to the Website and its related interfaces is STRICTLY PROHIBITED for individuals or entities located in, holding citizenship in, incorporated in, or maintaining a registered office in any Restricted Territory (each a "Restricted Person"). If you qualify as a Restricted Person, you must not attempt to use or access the Website. Using technologies like VPNs or similar tools to bypass these restrictions is forbidden.

“Restricted Territories” include but are not limited to: Belarus, Canada, Cuba, North Korea, Iran, Russia, Syria, the United States, the United Kingdom, Venezuela, Yemen, and specific regions in Ukraine and Russia (namely Crimea, Donetsk People’s Republic (DNR), Luhansk People’s Republic (LNR), as well as the Kherson and Zaporizhia areas).

Validity of Token Documentation and Website

Nothing contained in the Token Documentation or on the Website should be interpreted as an offer by the Company, the Distributor, or the Nomisma Network team to sell Genesis Chips. These materials must not be relied upon for making any purchasing decision. The future development or performance of the Nomisma Network is not guaranteed by any statement within these materials. Any agreements regarding the distribution or transfer of Genesis Chip shall be governed exclusively by specific contractual terms between you and the Distributor (or applicable third party).

Deemed Representations and Warranties

By accessing the Token Documentation or using the Website, you affirm and guarantee to the Company, Distributor, and their affiliates, as well as the Nomisma Network team, that:

• You are not relying on any information or statement within the Token Documentation or Website when deciding to obtain Genesis Chips.
• You are solely responsible for ensuring your compliance with all applicable laws, regulations, and restrictions.
• You fully understand and accept that Genesis Chips may not possess any inherent value, nor is there any promise of liquidity, market availability, or investment return.
• None of the aforementioned parties guarantee the transferability, tradability, or potential profitability of Genesis Chips under any circumstances.
• The Company, Distributor, and Nomisma Network contributors make no representations or warranties (express or implied) to any individual or entity, including regarding the accuracy, timeliness, or completeness of any information in the Token Documentation, Website, or any associated materials.

Genesis Chip

Genesis Chips are utility tokens intended for use within the Nomisma Network. It should be clearly understood that a Genesis Chip:

• Has no physical representation or guaranteed market value, and no one is making any claim as to its worth.
• Is non-refundable and cannot be redeemed for any underlying asset or converted into fiat currency or other digital assets.
• Grants no rights of ownership, revenue share, or equity interest in the Company, Distributor, or any affiliated entity.
• Does not entitle holders to participate in governance, voting, or access to financial data of the Company or Distributor.
• Is not issued as a financial instrument, investment contract, bond, commodity, or payment solution.
• Is not a loan or debt instrument, and no expectation of profit, interest, or repayment should be inferred.
• Provides no claim to any assets held by the Company, Distributor, or related organizations.
• Even after acquiring Genesis Chips, holders do not gain any legal or beneficial interest in the assets of the Company or its affiliates.
• If a secondary trading market emerges, it will operate entirely independently from the Company or Distributor, neither of whom will be responsible for facilitating or supporting such a market.

English Language

The Token Documentation and Website may be provided in multiple languages. However, in the case of any discrepancy or conflict between the translated versions and the original English version, the English version shall prevail. By accessing or using the materials, you confirm that you have read and understood the English version.

No Distribution

The contents of the Token Documentation or Website may not be copied, redistributed, or otherwise reproduced without prior written approval from the Company or Distributor. By attending a presentation or receiving a copy of the materials, you agree to be bound by these restrictions.
